These Terms of Service ("Terms") are entered into by and between Woodbridge Group Pty Ltd (ABN 97 162 294 215, ACN 162 294 215), a company incorporated under the laws of Western Australia with its principal place of business at WA 6056, Australia ("we", "us", or "our"), and you ("you" or "your").
By accessing or using the website at woodbridgegrouppty.site (the "Site"), or by engaging us to provide construction and project management services (the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with all of these Terms, you are expressly prohibited from using the Site and must not engage us for Services.
These Terms are governed by and construed in accordance with the laws of Western Australia and the Commonwealth of Australia, including the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)).
You represent and warrant that you are at least 18 years of age and have the full power, authority, and capacity to enter into these Terms. If you are using the Site or engaging our Services on behalf of a legal entity, you represent and warrant that you are authorised to act on behalf of that entity, and all references to "you" in these Terms will include that entity.
Woodbridge Group Pty Ltd provides construction, project management, maintenance, design, and consulting services for residential and commercial clients in Western Australia. The specific scope, deliverables, timeline, and pricing for any project will be set out in a separate written agreement (a "Project Agreement") signed by both parties.
Nothing in these Terms or on the Site constitutes a solicitation, recommendation, or offer to provide services in any jurisdiction where such an offer or solicitation would be unlawful. We reserve the right to modify, suspend, or discontinue, temporarily or permanently, the Site or any Services (or any part thereof) with or without notice. You agree that we will not be liable to you or to any third party for any modification, suspension, or discontinuance of the Site or Services.
We may provide quotes or estimates for Services upon request. All quotes and estimates are valid for a period of 30 days from the date of issue, unless otherwise stated in writing. Quotes and estimates are not binding offers and do not guarantee the final price of the Services. The final price will be confirmed in the Project Agreement.
Any quote or estimate that is accepted by you will become a binding Project Agreement only when signed by both parties. We reserve the right to revise quotes or estimates if there are changes to the scope of work, materials, or other circumstances beyond our reasonable control.
All prices and fees are stated in Australian Dollars (AUD) and are exclusive of Goods and Services Tax (GST) unless otherwise stated. Payment terms will be set out in the Project Agreement. Unless otherwise agreed, payment is due within 14 days of the date of invoice.
We reserve the right to charge interest on any overdue amounts at the rate of 10% per annum, or the maximum rate permitted by law, whichever is lower, calculated daily and compounded monthly. You must pay all amounts due without set-off, deduction, or counterclaim.
If you fail to make any payment when due, we may (without prejudice to any other right or remedy) suspend or terminate the Services until payment is received in full.
Nothing in these Terms excludes, restricts, or modifies the application of any provision of the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or any other applicable law that by law cannot be excluded, restricted, or modified ("Non-Excludable Rights").
You acknowledge that we provide Services with due care and skill, and that any goods supplied are of acceptable quality, fit for purpose, and match the description provided. If we fail to comply with the Non-Excludable Rights, you will be entitled to a remedy as required by the ACL, including replacement, refund, or repair, and we will not seek to limit or exclude that remedy.
To the fullest extent permitted by law, and subject to clause 6 (ACL Guarantees), we exclude all conditions, warranties, representations, or other terms that might otherwise be implied into these Terms, whether by statute, common law, or otherwise.
To the fullest extent permitted by law, our total aggregate liability arising out of or in connection with these Terms, the Site, or the Services, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, will be limited to the total amount paid by you to us for the specific Services that gave rise to the claim.
In no event will we be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, business, or use, even if we have been advised of the possibility of such damages. This includes, but is not limited to, loss of business opportunity, goodwill, or reputation.
The limitations in this clause 7 apply to the maximum extent permitted by law, regardless of the form of action, whether in contract, tort (including negligence), breach of statutory duty, or otherwise.
You agree to defend, indemnify, and hold harmless Woodbridge Group Pty Ltd, its affiliates, officers, directors, employees, agents, licensors, and suppliers from and against any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or in any way connected with:
This indemnity obligation will survive the termination or expiry of these Terms.
The Site and all content, materials, logos, graphics, text, and other intellectual property displayed on the Site ("Content") are the property of Woodbridge Group Pty Ltd or its licensors and are protected by Australian and international copyright, trademark, and other intellectual property laws.
No licence or right is granted to you to use, copy, modify, distribute, or create derivative works from the Content without the express written consent of Woodbridge Group Pty Ltd. You agree not to use any Content for any purpose not expressly authorised by these Terms or the Project Agreement.
Any intellectual property rights in deliverables, designs, plans, or other materials created by us specifically for you under a Project Agreement will be assigned to you upon full payment, unless otherwise agreed in writing. All pre-existing intellectual property remains the property of Woodbridge Group Pty Ltd.
You agree to keep confidential and not disclose to any third party any confidential information provided by us in the course of our engagement, including but not limited to trade secrets, business methods, pricing, client lists, and technical information. This obligation will survive the termination or expiry of these Terms for a period of 5 years.
Either party may terminate these Terms or any Project Agreement at any time by giving 14 days' written notice to the other party. This right of termination is in addition to any other rights or remedies available at law or equity.
We may terminate or suspend your access to the Site or Services immediately, without prior notice or liability, for any reason or for no reason, including but not limited to breach of these Terms. Upon termination, your right to use the Site will immediately cease.
All provisions of these Terms which by their nature should survive termination (including, without limitation, limitation of liability, indemnification, confidentiality, intellectual property, and governing law) will remain in effect after termination.
These Terms are governed by and construed in accordance with the laws of Western Australia and the laws of the Commonwealth of Australia, including the Australian Consumer Law. You agree to submit to the exclusive jurisdiction of the courts of Western Australia and the Federal Court of Australia to settle any dispute arising out of or in connection with these Terms or the Services.
If a dispute arises out of or relates to these Terms or the Services, the parties agree to attempt to resolve the dispute through good faith negotiations first. If the dispute is not resolved within 30 days, either party may refer the dispute to mediation administered by the Australian Centre for International Commercial Arbitration (ACICA) in Perth, Western Australia.
If the dispute is not resolved through mediation, either party may commence legal proceedings in the courts of Western Australia. Nothing in this clause prevents either party from seeking injunctive or equitable relief in any court of competent jurisdiction.
Entire Agreement. These Terms, together with any Project Agreement and our Privacy Policy, constitute the entire agreement between you and Woodbridge Group Pty Ltd regarding the Site and Services, and supersede any prior or contemporaneous communications, representations, proposals, or agreements, whether oral or written.
Variation. We may revise these Terms at any time by posting the revised version on the Site. Your continued use of the Site after any changes constitutes acceptance of the revised Terms. The "last updated" date at the top of this page reflects the date of the most recent revision.
Waiver. Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be and will remain a waiver in respect of that provision only and will not operate as a waiver of any other provision.
Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
Assignment. You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign or transfer these Terms without restriction or obligation.
